Compare the proposed payment with the expense and uncertainty of continuing, and identify what the deal actually resolves. A useful term sheet separates past claims, future permission, covered products, affiliates, customers, and any reporting obligations. This is a negotiation checklist, not a suggested royalty rate or a prediction of outcome.

Does ending the lawsuit end every dispute?

Read the dismissal and the agreement together. Rule 41 governs voluntary dismissal, while Kokkonen v. Guardian Life explains that a federal court does not automatically retain jurisdiction to enforce a private settlement after dismissal. The order's treatment of the settlement and any independent jurisdictional basis matter.

What should be checked before signing?

Ask who receives protection, which patents and product versions it covers, when payment is due, and what happens if performance stops. If an agreed injunction is part of the deal, Rule 65(d) requires the order to describe the restrained conduct specifically. Do not treat a license, release, dismissal, and injunction as interchangeable documents.
